Terms of Service
For the provision of services by andicode, Preceptly, Birkenweg 7, 49577 Ankum, Germany, E-Mail: info@preceptly.de (hereinafter "Provider") to its customers (hereinafter "Customer").
1. General
1.1 These Terms of Service apply to all contracts concluded between the Customer and the Provider incorporating these terms.
1.2 Where additional contract documents form part of the agreement, their provisions take precedence in case of conflict.
1.3 The Provider does not accept deviating terms of the Customer unless expressly agreed in writing.
2. Subject Matter and Scope
2.1 The Provider supplies the following services: a web-based software (SaaS) for managing tutoring sessions, students, contracts, appointments, and invoicing for self-employed tutors.
2.2 The specific scope of services is subject to individual agreements.
2.3 The Provider delivers services with the utmost care and diligence in accordance with the latest standards.
2.4 The Provider is free to determine the manner, location, and timing of service delivery but coordinates with the Customer accordingly.
3. Customer Obligations
The Customer shall provide all information required for service delivery completely and accurately. Delays caused by the Customer's failure to cooperate are not attributable to the Provider.
4. Remuneration
4.1 Preceptly is available free of charge in a basic tier (Free). The following paid subscription plans are also offered:
- Starter: € 4.99 per month
- Pro: € 9.99 per month
- Business: € 19.99 per month
4.2 Subscription fees are due in advance at the beginning of each billing month and are collected automatically via the payment service provider Stripe.
4.3 The subscription renews automatically on a monthly basis unless cancelled in time.
4.4 Cancellation is possible at any time with effect from the end of the current billing period. No partial refund is provided for periods already paid, unless required by law.
4.5 Price changes will be announced to the customer by e-mail at least four weeks before they take effect. If the customer does not object within the stated period, consent is deemed to have been given.
5. Liability / Indemnification
5.1 The Provider is liable without limitation for intent and gross negligence, and for injury to life, body, or health. For negligent breach of material obligations, liability is limited to foreseeable, typical damages. All other liability is excluded.
5.2 The Customer shall indemnify the Provider against third-party claims arising from the Customer's breach of these terms or applicable law.
6. Contract Duration and Termination
6.1 The free tier (Free) is concluded for an indefinite period and may be terminated by the Customer at any time without notice.
6.2 Paid subscriptions are concluded on a monthly basis. Duration and cancellation terms are governed by Sections 4.3 and 4.4.
6.3 The right to terminate for cause without notice remains unaffected.
6.4 After termination, stored data will be deleted upon expiry of applicable statutory retention periods, unless the Customer requests earlier deletion. Earlier deletion may be requested at any time by email to info@preceptly.de.
7. Confidentiality and Data Protection
7.1 The Provider treats all information obtained in connection with the contract as strictly confidential, without time limit beyond the contract period.
7.2 The Provider complies with all applicable data protection regulations, including the GDPR and German Federal Data Protection Act.
8. Final Provisions
8.1 German law applies, excluding the CISG.
8.2 Should any provision be invalid, the remaining provisions shall not be affected.
8.3 The place of jurisdiction for merchants and legal entities under public law is the Provider's registered office.
8.4 The Provider may amend these terms for legitimate reasons with reasonable notice. Existing customers will be notified by e-mail at least two weeks before changes take effect. Failure to object within the stated period constitutes acceptance.
9. Consumer Dispute Resolution
The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
